SL Split Corp. will hold common shares of Sun Life Financial Inc. in order to generate fixed cumulative preferential distributions for the holders of the Company's Preferred Shares and to enable the holders of the Company's Capital Shares to participate in any capital appreciation in the Sun Life Shares and to benefit from any increase in the dividends payable on the Sun Life Shares.
